Standard Terms and Conditions
for Web Design, Logo Design, and Other Graphic Design Services
This agreement (the "Agreement") is entered into between Dot Design Studio (ABN: 12983531989), referred to as "the Designer," and the client, referred to as "the Client." This Agreement sets forth the terms and conditions governing the provision of web design, logo design, and other graphic design services (collectively referred to as "the Services").
1.1 The Designer agrees to provide the Services as specified in the project proposal or as otherwise agreed upon by both parties in writing.
1.2 The Client agrees to cooperate with the Designer, providing necessary materials, feedback, and approvals in a timely manner to facilitate the completion of the Services.
2.1 The Client agrees to pay the Designer the agreed-upon fees for the Services as outlined in the project proposal or as otherwise agreed upon in writing.
2.2 A non-refundable deposit of 33% of the total project fee is due before the commencement of the project.
2.3 The remaining balance is due upon completion of the Services, prior to the delivery of final files or launch of the website.
2.4 Late payments may be subject to a penalty fee or interest charges as outlined in the project proposal or as agreed upon in writing.
3.1 The Designer retains ownership of all intellectual property rights, including copyrights, related to any original work created as part of the Services, unless otherwise agreed upon in writing.
3.2 Upon full payment, the Designer grants the Client a non-exclusive, non-transferable license to use the final deliverables (e.g., website, logo, graphic designs) for the Client's intended purposes.
3.3 The Client warrants that all materials provided to the Designer do not infringe upon any third-party intellectual property rights. The Client shall indemnify and hold the Designer harmless against any claims or damages arising from any infringement.
4.1 The Client is entitled to a specified number of revisions during the design process, as outlined in the project proposal.
4.2 Additional revisions beyond the agreed-upon number may incur additional fees.
4.3 The Client is responsible for reviewing and approving all design materials, including but not limited to website layouts, logos, and graphic designs, before final delivery.
4.4 Once the Client provides final approval, the Designer will not be responsible for any errors or omissions in the final deliverables.
5.1 Both parties agree to keep confidential any confidential information received from the other party during the course of the project.
5.2 The Designer may use the Client's name and project details for promotional purposes unless otherwise agreed upon in writing.
6.1 Either party may terminate this Agreement in writing if the other party breaches any material provision of this Agreement.
6.2 In the event of termination, the Client shall pay the Designer for all services rendered up to the termination date.
7.1 The Designer shall not be liable for any indirect, incidental, or consequential damages arising from the Services, including but not limited to loss of data, loss of profits, or business interruption.
7.2 The Designer's liability, if any, shall be limited to the amount paid by the Client for the Services.
8.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Designer is located.
8.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
By engaging the Designer's services, the Client acknowledges and agrees to these Terms and Conditions.
